BeHuman Communications Inc. Affiliate Program Terms and Conditions
1. Introduction
This Agreement outlines the terms and conditions for participation in the BeHuman Communications Inc. Affiliate Program (the “Program”). By enrolling, you agree to comply with these terms, representing a legal agreement between you (the "Affiliate") and BeHuman Communications Inc. (the “Company”), based in Toronto, Ontario, Canada.
2. Definitions
“Affiliate”: An individual or entity enrolled in the BeHuman Communications Inc. Affiliate Program.
“Customer”: Paying users of BeHuman Communications Inc.'s services.
“Affiliate Link”: A unique link provided to an Affiliate, used for tracking referrals and commissions.
“Commission”: Earnings accrued by an Affiliate for successful referrals.
3. Affiliate Obligations and Conduct
Eligibility:
To be eligible to join the affiliate program, you must be at least 18 years old.
Approval is at BeHuman.Online’s discretion:
In the application, you must provide your full name, website address, and any additional information asked. After signing up for the program, we will review your application. We reserve the right and sole discretion to reject your application, and re-evaluate your application at any point in time.
You will receive a confirmation of your participation when the application is approved. After approval, you have direct access to your affiliate dashboard and personal referral link.
Legal Compliance:
As an Affiliate, you agree to comply with all applicable laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, and other requirements of any governmental authority that has jurisdiction over you, both in effect now and those that come into effect in the future.
You agree that as a condition of your participation in the Affiliate Program, you will comply with all applicable federal, state, or other Laws that govern marketing email, including without limitation, the e-Privacy Directive, the CAN-SPAM Act of 2003, Canadian Anti-Spam Legislation (CASL), and all other anti-spam laws.
Promotional Conduct:
Your website and promotional channels must not contain or promote copyright infringement, adult content, violence, defamation, or any content that violates the law. Paid promotions and PPC bidding on BeHuman Communications Inc.-related keywords or misspellings of keywords require prior approval from our affiliate managers.
Prohibited Activities:
Self-referrals, representing misleading information to set affiliate cookies, and displaying invalid discount codes are strictly forbidden.
Account Management:
Only one Affiliate account is permitted. Ensure accuracy and currency of account information.
4. Commission Structure and Payment Terms
Earnings:
Affiliates earn a recurring 40% lifetime commission on referred customers who purchase a subscription, less refunds, chargebacks, and any other promotions applied.
Continuity Clause:
Commission earnings are contingent on the continuous active status of the referred customer's subscription. If a customer cancels or pauses their plan and subsequently reactivates or upgrades it, the affiliate will not earn commissions on the reactivated or upgraded plan.
Payouts:
Commissions are paid monthly, one month after the revenue-earning month, with a minimum payout threshold of $100 USD. For instance, revenue earned in September is paid in the first week of November. If the minimum payout threshold is not met, the balance will carry forward to future months. Payments are made via PayPal, and it is the Affiliate’s responsibility to provide accurate PayPal account information.
Last Affiliate Credit:
The last Affiliate to refer a customer before their purchase will receive the commission.
Cookie Tracking:
Referral tracking is based on a 60-day cookie duration. The sale must occur within this period.
Tracking Accuracy:
BeHuman Communications Inc. is not responsible for tracking errors due to ad blockers, browser cache resets, or other technical issues.
5. Intellectual Property
Non-exclusive rights to use BeHuman Communications Inc. marketing materials are granted for promotion purposes.
6. Term and Termination
Either party may terminate this Agreement with written notice. Upon termination, any earned commission above the $100 payout threshold will be paid in the next billing cycle. Any commissions pending under this $100 USD threshold will be voided.
We may make amendments to this agreement which materially adversely affect your benefits under the Program by giving you thirty 30 days’ notice (“Amendment Notice Period”) in advance prior to its effectiveness by updating the last updated date in this agreement. At our discretion, we may also display the notification in your Affiliate dashboard. You waive any right to receive specific notice of each such change. It is your responsibility to review this Agreement periodically. Should you disagree with such an amendment, you may terminate this Agreement within the Amendment Notice Period, effective on its expiry by informing us in writing.
The company may terminate your affiliate Agreement or suspend access to the affiliate program with immediate effect and without prior notice in the circumstances of fraud and abuse.
7. Limitation of Liability
BeHuman Communications Inc. provides no warranty or representation regarding the Affiliate Program, including its availability, or the accuracy and completeness of the tracking and reporting systems. The Affiliate Program is provided on an "as is" basis.
In no event shall BeHuman Communications Inc. be liable for any direct, indirect, consequential, or special damages arising out of or in connection with the Program. This includes, but is not limited to, lost profits or loss of business opportunities.
8. Indemnification
The Affiliate agrees to indemnify BeHuman Communications Inc. against claims arising from their promotional activities.
9. Governing Law
This Agreement is governed by the laws of Ontario, Canada.
By participating in the BeHuman Communications Inc. Affiliate Program, you acknowledge that you have read, understood, and agree to these terms and conditions.
